Megan is Partner and Head of Corporate at Stuarts Humphries. She is also a member of the Investment Funds and Fintech practice groups.
Practice Experience
Megan advises clients on corporate and commercial transactions, banking, financing, licensing, funds, and Fintech legal, across a wide range of sectors including leading financial institutions, prominent US, European & South American banks, investment managers, Fortune 500 companies and several of the world's largest insurance companies, predominantly in connection with a wide range of cross border commercial arrangements and international corporate transactions. Megan has recently acted for the issuer on a number of Special Purpose Acquisition Company (SPAC) IPOs in the US and UK. In addition to her legal practice, Megan acts as an independent director on the boards of a number of Cayman Islands entities.
Megan routinely advises fund sponsors and other stakeholders on the structuring and formation of hedge and private equity funds; the day-to-day administration of funds from a Cayman Islands law perspective (including, for example, corporate governance and fiduciary duties, investor issues, matters pertaining to illiquid portfolios and portfolio transactions); the restructuring, wind-down and liquidation of funds; and the regulatory framework governing funds and their managers in the Cayman Islands. She advises on the use of companies, partnerships, special purpose acquisition vehicles and unit trusts in the context of investment funds and advises on ongoing transactional and restructuring issues relating to offshore investment funds. Her clients include institutional fund sponsors, boutique investment managers and private equity houses. Megan sat on the Cayman Islands industry advisory working group for the economic substance legislation.
Megan is a member of the digital, blockchain and fintech team and advises funds focusing on blockchain technology and other virtual asset strategies. She is a mentor for GirlForce 100 and CareerMasters in the Cayman Islands and leads Stuarts Humphries' Early Careers Programmes.
